Understand the filing requirement

Essential

If you are a U.S. non-resident who owns an LLC in the United States (single-member LLC), you must file two forms with the IRS every year:

๐Ÿ“‹ Form 1120 (Pro Forma)

The U.S. corporate income tax return. For a foreign single-member LLC, it serves only as a cover page: only a few lines need to be completed. You owe no tax if the LLC has no effectively connected business activity in the U.S.

The form that reports transactions between the LLC and its foreign owner. This is the main form: it details every transaction (capital contributions, distributions, loans, fees paid, etc.).

Penalty: $25,000 per form for failure to file, late filing, or incomplete information. This requirement applies even if your LLC had no activity and no income.

  • You are a U.S. non-resident (no green card, no substantial presence in the U.S.)
  • You own a single-member LLC in the United States
  • The LLC is treated as a disregarded entity by the IRS
  • There was at least one transaction between you and the LLC (even $1 of initial capital)

Gather your documents

Preparation

Before you start filling out the forms, prepare the following documents and information:

  • โœฆ LLC's EIN: Employer Identification Number (format: XX-XXXXXXX). This is your LLC's tax number.
  • โœฆ Full legal name of the LLC as registered with the state.
  • โœฆ LLC's address: the U.S. address (often the registered agent's).
  • โœฆ Fiscal year dates: usually January 1 to December 31.
  • โœฆ Your full identity: name, foreign address, nationality.
  • โœฆ ITIN (if you have one): Individual Taxpayer Identification Number.
  • โœฆ Foreign tax number (FTIN): your tax identification number in your country of residence.
  • โœฆ Bank statements for the LLC's year: to calculate contributions, distributions, and other transactions.
  • โœฆ Invoices and receipts for any payment between you and the LLC.

Tip: If your LLC was just created and its only transaction was paying the formation fees (e.g. a $100 Wyoming filing fee), that amount is your capital contribution. It must be reported!

Fill out the Pro Forma Form 1120

Form 1

Form 1120 is normally the corporate income tax return. For a foreign-owned disregarded entity, you only complete a simplified pro forma version.

That's it! Do not fill out anything else on Form 1120. No signatures, no schedules: it only serves as a cover page for Form 5472.

Form 2: Main

This is the most important form. It has 9 parts, but for a single-member LLC without complex activity, only Parts I through V are relevant.

The most important section for disregarded entities. Report here:

  • Capital Contributions (cash): any money you sent to the LLC (transfers, formation fee payments, registered agent, etc.)
  • Capital Contributions (property): assets transferred to the LLC
  • Distributions (cash): any money the LLC paid out to you
  • Distributions (property): assets the LLC transferred to you

Parts VI through IX cover non-monetary transactions, cost-sharing arrangements, and base erosion provisions. They generally do not apply to simple single-member LLCs. When in doubt, consult a CPA.

You can request a 6-month extension by filing Form 7004 before the deadline. This pushes the date to October 15.

Keep these documents for at least 7 years: the IRS may request clarifications at any time during that period.

Annual reminder: This filing must be done every year as long as the LLC exists. Even if the LLC has no activity, you must file the forms while it is still active.

Common mistakes to avoid

โŒ The 7 most common mistakes

  1. Forgetting to write "Foreign-owned U.S. DE" at the top of Form 1120: the IRS may reject the form.
  2. Not reporting capital contributions: even $50 sent to pay formation fees counts as a reportable transaction.
  3. Trying to e-file: this is not possible for disregarded entities; you must send by fax or mail.
  4. Filling out the entire Form 1120: only the lines mentioned are required. The rest must stay blank.
  5. Forgetting Part V: this is the section specific to disregarded entities and it is often the most important.
  6. Not filing "because the LLC has no income": the requirement applies even with $0 of income as soon as there has been a transaction.
  7. Missing the deadline without an extension: the $25,000 penalty applies immediately.
